Ducommun Announces Offering of $200 Million of Senior Notes to Fund LaBarge Acquisition

LOS ANGELES, Jun 20, 2011 (BUSINESS WIRE) -- Ducommun Incorporated (NYSE: DCO) today announced its intention, subject to market and other conditions, to offer $200 million aggregate principal amount of senior unsecured notes due 2018 (the "Notes"). The Company intends to use the net proceeds of the Notes offering to finance, in part, the purchase price of the Company's previously announced and pending acquisition of LaBarge, Inc. (AMEX: LB). The closing of the Notes offering is conditioned upon the closing of the LaBarge acquisition, which is expected to occur shortly after LaBarge's Special Meeting of Stockholders scheduled for June 23, 2011.

The Notes will be offered and sold to qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act") and outside the United States in reliance on Regulation S under the Securities Act. The Notes have not been registered under the Securities Act, or any state securities laws, and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
